Terms of Service

Article 1: Applicability

Roadmappy's AI-native customer intelligence and strategic roadmapping platform, accessible via roadmappy.io (hereinafter "Platform"), is owned and operated by a family-owned business based in Switzerland (hereinafter "Roadmappy", "we", "us", or "our").

These Terms of Service set out the terms and conditions under which Roadmappy offers its Platform. By signing up to our Platform, you (hereinafter "you", "your", or "User") agree to be bound by these Terms of Service.

These Terms of Service constitute a legally binding agreement between you and Roadmappy. By using any part of our Platform, you acknowledge and agree that your use is governed solely by these Terms of Service.

If you do not agree to any provision of these Terms of Service, you are not authorized to use or access our Platform in any way.

Article 2: Description of Service

Roadmappy is an AI-native customer intelligence and product roadmapping platform that enables you to:

• Merge customer touchpoints: Connect customer channels including Salesforce, Intercom, Beamer, App Store/Play Store reviews, Calendar, and Slack
• Auto-transcribe and translate: Record, transcribe, and translate customer calls and meetings using our meeting bot
• AI-powered discovery: Let AI surface patterns, themes, and sentiment across all your data
• Generate insights: Create instant reports, summaries, and recommendations
• Build strategic roadmaps: Craft clear, shareable product roadmaps with multiple views, filters, and groupings

To access the Platform, you must create an Account. The Platform offers both free and paid subscription plans, with certain features reserved for paid subscribers.

Article 3: Account Creation and Use

To use the Platform, you must:

• Provide accurate and complete information when creating your Account
• Maintain the security of your account credentials
• Have a stable internet connection
• Provide necessary telecommunication or computer network equipment to access the Platform

You are solely responsible for the security and confidential use of your Account and for all activities that occur under your Account.

Roadmappy offers unlimited seats for your team, making it easy to collaborate without additional per-user costs.

Article 4: Acceptable Use

When using our Platform, you agree to:

4.1 Comply with Laws

• Comply with all applicable laws, regulations, and ordinances, including data protection laws (GDPR)
• Respect the privacy rights of others
• Obtain necessary consents when recording meetings with our meeting bot

4.2 Prohibited Activities

You agree NOT to:

• Upload or transmit content that infringes intellectual property rights of third parties
• Share content that is harmful, defamatory, violent, unlawful, obscene, or degrading
• Transmit viruses or malicious code that may damage the Platform
• Attempt to breach or test our security measures without authorization
• Decompile, reverse engineer, or attempt to access source code of the Platform
• Use automated tools (bots, scrapers, spiders) to access or collect information from the Platform
• Resell, sublicense, or distribute the Platform to third parties
• Remove or obscure any proprietary notices or branding

4.3 Meeting Bot Responsibilities

When using the meeting bot feature, you must:

• Inform all meeting participants that the meeting is being recorded
• Obtain explicit consent from participants before recording
• Comply with applicable recording consent laws in your jurisdiction
• Use recordings only for legitimate business purposes

Roadmappy cannot be held liable for any loss or damage resulting from non-compliance with these requirements.

Article 5: License and Restrictions

The Platform, including all its functionalities, features, and content, is Roadmappy's exclusive property. All rights not expressly granted to you in these Terms of Service are reserved by Roadmappy.

We grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Platform in accordance with these Terms of Service for the duration of your subscription.

This license does not grant you any ownership rights in the Platform or any intellectual property rights.

Article 6: Pricing and Payment

6.1 Subscription Plans

Roadmappy offers both free and paid subscription plans. Current pricing information is always available on our website. We encourage you to check our website periodically for up-to-date pricing.

6.2 Payment Terms

For paid subscriptions, fees are charged on a recurring basis (monthly or annually) as selected by you. All fees are denominated in USD and include applicable taxes.

Payment is processed via Stripe. You authorize Roadmappy or its third-party payment processors to charge your designated payment method for the subscription fees.

6.3 Failed Payments

Failure to make timely payments may result in suspension or termination of your access to the Platform.

6.4 Price Changes

Roadmappy reserves the right to adjust subscription fees. Any price changes will be communicated to you at least thirty (30) days in advance. You may accept the new pricing or cancel your subscription.

Revised pricing will only apply at the start of your next billing cycle after the notice period.

Article 7: Intellectual Property Rights

7.1 Roadmappy's Intellectual Property

The Platform and all related intellectual property rights remain the exclusive property of Roadmappy. This includes but is not limited to:

• Software, code, and algorithms
• User interface designs and features
• AI models and processing methodologies
• Trademarks, logos, and branding
• Documentation and training materials

7.2 Your Content

You retain all ownership rights to the content you upload or create within the Platform, including:

• Roadmap items and descriptions
• Meeting recordings and transcripts
• Integration data from connected services
• Comments, notes, and attachments

7.3 Feedback

If you provide suggestions, comments, or feedback about the Platform, you grant Roadmappy a worldwide, non-exclusive, perpetual, irrevocable, royalty-free right to:

• Use, copy, modify, and incorporate the feedback into the Platform
• Create derivative works based on the feedback
• Distribute and sublicense the feedback as part of the Platform

Your feedback does not grant you any proprietary rights in the Platform.

Article 8: Privacy and Data Protection

Privacy and security are at the top of our concerns. When you use the Platform, Roadmappy processes your personal data as described in our Privacy Policy.

Our Privacy Policy provides detailed information about how we collect, process, store, and protect your data. Key points include:

• All data is stored in the European Union (Germany)
• We use European-based APIs for all AI processing
• You remain in full control of your data
• You can request data deletion at any time (completed within 24 hours)
• We comply with GDPR and other applicable data protection regulations

Before using the Platform, you must agree to our Privacy Policy, which is readily accessible at roadmappy.io/privacy.

Article 9: Support, Updates and Changes

9.1 Support

Roadmappy provides support to assist with technical issues. Support is available via email and in-platform messaging. We aim to respond within reasonable timeframes based on issue severity.

For best support, please report issues promptly and provide relevant information to facilitate investigation and resolution.

9.2 Availability

We make reasonable efforts to ensure continuous availability of the Platform. However, we reserve the right to temporarily suspend the Platform for maintenance, updates, or to resolve issues.

Planned maintenance will be communicated in advance when possible and scheduled outside regular business hours when feasible.

9.3 Updates

Roadmappy may provide regular updates to improve, enhance, and develop the Platform. Updates may include bug fixes, new features, and performance improvements.

You will be notified of significant updates through the Platform or via email. Continued use of the Platform after updates implies acceptance of such updates.

9.4 Changes to Terms

Roadmappy reserves the right to modify these Terms of Service at any time. Users will receive notification via the Platform or email when changes are made.

Continued use of the Platform after the effective date of changes implies acceptance of the revised Terms of Service.

If you disagree with any changes, you must discontinue use of the Platform and may cancel your Account.

Article 10: Warranties and Disclaimers

To the fullest extent permitted by applicable law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.

Roadmappy disclaims all warranties, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free operation
• Warranties that the Platform is free from viruses or harmful components
• Warranties regarding accuracy or completeness of content or AI-generated insights

While we strive to maintain high availability and reliability, we cannot guarantee 100% uptime or data availability due to the nature of internet services and cloud computing.

You acknowledge this risk when using the Platform and agree to take appropriate precautions, including maintaining backups of critical data.

Article 11: Limitation of Liability

To the fullest extent permitted by applicable law, Roadmappy shall not be liable for:

11.1 Indirect Damages

Any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Costs of obtaining substitute services
• Business interruption

11.2 Technical Issues

• Viruses or harmful materials that may affect your devices or data
• Issues arising from third-party integrations or services
• Downtime or unavailability of the Platform
• Data loss, though we implement regular backups

11.3 AI-Generated Content

While our AI models are designed to provide valuable insights, Roadmappy is not liable for the accuracy, completeness, or appropriateness of AI-generated content, summaries, or recommendations. You should review and verify AI output before relying on it for business decisions.

11.4 Maximum Liability

To the extent permitted by law, Roadmappy's total liability for any claims arising from or related to these Terms of Service or your use of the Platform shall not exceed the total amount of fees you paid to Roadmappy in the three (3) months immediately preceding the event giving rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based, whether contract, tort, negligence, or otherwise.

Article 12: Indemnification

You agree to indemnify, defend, and hold harmless Roadmappy from any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your breach of these Terms of Service
• Your violation of any laws or regulations
• Your violation of third-party rights, including intellectual property rights
• Content you upload or share through the Platform
• Your use of the meeting bot without proper consent from participants
• Your fraudulent activities, intentional misconduct, or gross negligence

This indemnification obligation survives termination of these Terms of Service and your use of the Platform.

Article 13: Third-Party Services and Integrations

The Platform allows you to connect various third-party services including Salesforce, Intercom, Calendar, Slack, Beamer, and App Store/Play Store.

When you authorize these integrations, you grant Roadmappy permission to access and process data from these services as described in our Privacy Policy.

Your use of third-party services is governed by their respective terms of service and privacy policies. Roadmappy is not responsible for:

• The availability or functionality of third-party services
• Changes to third-party APIs or features
• Data accuracy or completeness from third-party sources
• Privacy practices of third-party services

You can disconnect integrations at any time through your Account settings.

Article 14: Duration and Termination

14.1 Term

These Terms of Service remain in effect for as long as you have an active Account and use the Platform.

14.2 Termination by You

You may cancel your Account at any time through your Account settings. For paid subscriptions, cancellation becomes effective at the end of your current billing period.

14.3 Termination by Roadmappy

Roadmappy reserves the right to suspend or terminate your access to the Platform immediately, without prior notice, if you:

• Breach these Terms of Service
• Engage in fraudulent or illegal activities
• Violate the rights of others
• Fail to make required payments
• Use the Platform in a manner that poses security or legal risks

14.4 Effect of Termination

Upon termination:

• Your right to access and use the Platform immediately ceases
• You are responsible for exporting any data you wish to retain
• Roadmappy may delete your data in accordance with our Privacy Policy retention periods
• You can request immediate data deletion by emailing privacy@roadmappy.io
• All provisions that by their nature should survive termination shall survive, including indemnification, liability limitations, and dispute resolution

For urgent data deletion requests, we commit to deleting all your data within 24 hours.

Article 15: Miscellaneous Provisions

15.1 Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Roadmappy regarding your use of the Platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, that provision shall be deemed severed and the remaining provisions shall continue in full force and effect.

15.3 No Waiver

Roadmappy's failure to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms of Service or your Account without Roadmappy's prior written consent. Roadmappy may assign these Terms of Service without restriction.

15.5 Force Majeure

Roadmappy shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Independent Contractors

Nothing in these Terms of Service creates a partnership, joint venture, agency, or employment relationship between you and Roadmappy.

Article 16: Governing Law and Dispute Resolution

16.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with Swiss law, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any disputes arising from or relating to these Terms of Service or your use of the Platform shall be resolved through good faith negotiations between the parties.

If negotiations fail to resolve the dispute within thirty (30) days, either party may pursue legal remedies in accordance with applicable law.

16.3 Jurisdiction

To the extent permitted by applicable law, the courts of Switzerland shall have exclusive jurisdiction over any disputes arising from these Terms of Service.
